1. Acceptance of Terms

By accessing or using Estara AI's real estate investment analysis platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms form a binding agreement between you ("you" or "User") and Estara AI ("Estara AI," "we," "us," or "our").

2. Description of Service

Estara AI provides AI-powered real estate analysis tools designed to assist users in evaluating potential and existing property investments. The Service may include, without limitation:

  • Property investment analysis and ROI calculations
  • Market trend analysis and insights
  • Portfolio optimization and comparison tools
  • Risk assessment and scenario analysis
  • Cash flow projections and investment summaries
  • Automated and custom investment reports

The Service is provided for informational and educational purposes only and is not a substitute for professional financial, legal, tax, or investment advice.

3. Eligibility and User Accounts

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access certain features, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete registration data
  • Maintain and promptly update your information
  • Maintain the security of your login credentials
  • Accept responsibility for all activities that occur under your account

3.3 Account Termination by Estara AI

We may suspend or terminate your access to the Service or your account at any time, with or without notice, if we reasonably believe that you have violated these Terms or engaged in fraudulent, abusive, or otherwise harmful conduct.

4. Subscription Plans, Billing, and Fees

4.1 Subscription Tiers

Estara AI offers multiple subscription plans, each with different features, usage limits, and pricing. Details of current plans are available on our pricing page or within the Service interface.

4.2 Billing and Payments

  • Subscription fees are billed in advance on a recurring monthly or annual basis, as selected by you.
  • All fees are stated exclusive of taxes. You are responsible for paying all applicable taxes associated with your purchase.
  • Except as provided in Section 4.3 (14-Day Money-Back Guarantee) or where required by law, all payments are non-refundable.
  • We may change subscription fees or plan features with at least 30 days' prior notice, which may be provided via email or within the Service.

4.3 14-Day Money-Back Guarantee

All new paid subscriptions are covered by a 14-day money-back guarantee. If you are not satisfied with Estara AI, you may request a full refund within 14 days of your initial purchase by contacting support@estara-ai.com.

Refunds under this guarantee apply only to your first subscription purchase and do not apply to renewals, plan upgrades, add-ons, usage-based charges, or subsequent subscriptions after a prior refund has been issued.

Refund requests must be submitted within the 14-day window. Approved refunds are returned to the original payment method and may take 5–10 business days depending on your bank or payment provider.

Fair Use Refund Exceptions

The money-back guarantee does not apply if an account has engaged in any of the following:

  • Substantial use of AI Features
  • Excessive PDF exports
  • White-label report generation
  • Bulk data downloads
  • Scraping-like or automated activity
  • Unusually high API, MLS, or computational usage
  • Activity inconsistent with normal evaluation or trial use
  • Creation of multiple accounts to bypass trial or usage limits

These restrictions protect against abuse of high-cost compute features. Legitimate customers will always receive reasonable consideration.

4.4 Monthly Subscriptions

You may cancel your monthly subscription at any time. Cancellations take effect at the end of your current billing period. Access continues until the subscription expires, and no further charges apply after cancellation. No partial refunds are issued for unused time on monthly plans. You may reactivate your account at any time using the same login.

4.5 Annual Subscriptions

Annual plans are billed upfront at a discounted rate. You may cancel at any time; however, the subscription remains active until the end of the annual term. No prorated refunds are issued after the 14-day guarantee window. Annual plans assume a full-year commitment.

4.6 Upgrades and Downgrades

Upgrading: When you upgrade, you are charged a prorated amount for the remaining billing cycle. Upgrades take effect immediately.

Downgrading: Downgrades take effect at the start of the next billing period.

4.7 Trial Periods

Trials (where applicable) convert automatically into paid plans unless cancelled before the trial ends. You may cancel any time during the trial to avoid charges. Trial features may be limited.

4.8 Duplicate Charges and Billing Disputes

If you believe you were billed multiple times in error, email support@estara-ai.com with the charge details. Verified duplicate charges will be refunded in full.

If you experience billing issues, please reach out directly before filing a chargeback. We resolve billing issues quickly—contact us first.

4.9 Chargeback Policy

By using Estara AI, you agree that:

  • You will contact Estara AI at support@estara-ai.com for any billing issues prior to filing a chargeback.
  • You will not dispute valid charges for services you used.
  • All subscriptions are governed by the 14-day money-back guarantee and Refunds & Cancellations Policy.
  • Chargebacks filed outside the refund window are considered invalid unless legally required.

Account Suspension: Upon filing a chargeback, Estara AI may immediately suspend or terminate your account. Access to reports, data, dashboards, and saved analyses may be revoked. Your account may be reactivated only after the dispute is resolved in Estara AI's favor, or you repay the disputed amount including processor fees.

Invalid Chargeback Grounds: The following do not justify chargebacks:

  • Disliking results after heavy usage
  • Data inaccuracies from third-party providers
  • Market movement not matching projections
  • Failure to cancel before renewal
  • Payment method issues on the user's side
  • Temporary service outages caused by third-party providers

Filing a chargeback in violation of this policy constitutes a breach of these Terms. Estara AI may recover unpaid balances through collections where legally permitted.

4.10 Enterprise and Custom Contracts

Enterprise, advisory, or white-label contracts may include custom refund or cancellation terms. Those agreements supersede this policy.

5. AI Analysis Usage and Metering

5.1 AI Analysis Metering

Estara AI's AI-powered analysis features are subject to usage limits and metering based on your subscription plan. AI analysis includes, but is not limited to:

  • Property investment analysis and ROI simulations
  • Market trend analysis and scenario testing
  • Portfolio optimization recommendations
  • Risk scoring and risk factor analysis
  • Automated investment reporting and narratives

5.2 Usage Limits

Each subscription plan includes a specific monthly allocation of AI analysis usage. These limits are strictly enforced to ensure fair usage and service quality across all users. Once you reach your usage limit, certain AI-powered features may be temporarily disabled until your usage resets.

5.3 Monitoring and Notifications

We may monitor AI analysis usage in real time and may notify you when you approach or reach your limits, for example:

  • 80% usage threshold: informational warning about high usage
  • 95% usage threshold: final warning before temporary suspension of AI features
  • 100% usage: AI functionality may be suspended until the next billing cycle or until you upgrade your subscription

5.4 Fair Use and Abuse Prevention

We reserve the right to impose additional technical or operational limits, or to temporarily or permanently restrict access to AI features, if we detect abuse, excessive or abnormal usage patterns, or attempts to circumvent usage limits.

6. Acceptable Use

You agree not to use the Service for any unlawful, harmful, or abusive purpose, or in any way that could damage, disable, or impair the Service or interfere with the use of the Service by others. Prohibited activities include, without limitation:

  • Violating any applicable law, regulation, or third-party right
  • Attempting to gain unauthorized access to the Service or related systems or networks
  • Interfering with or disrupting the integrity or performance of the Service
  • Uploading or transmitting malicious code, malware, or harmful content
  • Using the Service to build a competing product or service, or to reverse engineer our models or systems

7. Intellectual Property

7.1 Our Rights

The Service, including all software, models, algorithms, content, designs, features, and functionality, is owned by Estara AI or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no license or right is granted to you by implication or otherwise.

7.2 Your Content

You retain all rights in and to data, content, and information you provide to the Service ("User Content"). By submitting User Content, you grant Estara AI a non-exclusive, worldwide, royalty-free license to use, reproduce, display, perform, distribute, and create derivative works of such User Content as necessary to operate, maintain, and improve the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you agree that we may use such feedback without restriction or compensation to you, and you hereby assign all rights in such feedback to Estara AI.

8. AI-Generated Content and Investment Disclaimer

8.1 AI-Generated Content

The Service may generate content, including but not limited to forecasts, valuations, risk scores, narrative summaries, and recommendations, using AI and algorithmic models. Such content is automatically generated based on available data and assumptions and may be incomplete, outdated, or inaccurate.

8.2 No Investment, Legal, or Tax Advice

Important: Estara AI does not provide investment, legal, tax, or financial advice. All outputs from the Service, including AI-generated analysis and recommendations, are provided for informational and educational purposes only. You are solely responsible for your investment decisions and should consult with qualified professionals before making any investment, legal, or financial decisions.

8.3 No Guarantee of Results

Estara AI does not guarantee any particular investment performance, return, or outcome. Past performance, simulated results, or model projections are not indicative of future results.

9. Data, Privacy, and Security

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have reviewed our Privacy Policy.

While we implement reasonable technical and organizational measures to protect your data, no system can be completely secure. You use the Service at your own risk and are responsible for implementing appropriate safeguards for your own systems.

10. Third-Party Services and Data Sources

Estara AI relies on third-party platforms, APIs, hosting providers, data vendors, government databases, authentication providers, email services, payment processors, and other integrated systems ("Third-Party Services").

You acknowledge and agree that:

  • Third-Party Services may experience outages, delays, or degraded performance.
  • Estara AI has no control over the availability, accuracy, or reliability of these external systems.
  • The platform's functionality may be temporarily limited or interrupted due to issues originating outside Estara AI's infrastructure.
  • Estara AI shall not be held liable for any damages, losses, inaccuracies, delays, interruptions, failures, or inability to access the platform caused directly or indirectly by Third-Party Services.

Such events do not constitute a breach of agreement and do not entitle the user to refunds, credits, or compensation beyond what is explicitly stated in the Refunds & Cancellations Policy (Section 4).

10.1 Licensed and Third-Party Data Providers

Property, market, demographic, school, rental, valuation, and analytical data may be sourced from licensed data providers, including but not limited to HasData, SchoolDigger, Anthropic, OpenAI, and other authorized data partners. Some insights may also be derived from Estara AI's proprietary AI models, which analyze publicly available information, licensed datasets, or user-provided data.

Estara AI does not guarantee the accuracy, completeness, timeliness, or reliability of data obtained from third-party providers. All such information is provided on an "as-is" and "as-available" basis and should be independently verified before reliance.

10.2 External Real Estate Listing Links

The Service may display or link to property listings hosted on third-party real estate websites, including but not limited to Zillow, Redfin, Realtor.com, Homes.com, Trulia, or other online listing platforms. These links are provided solely for user convenience and reference.

Important: Estara AI is not affiliated with, endorsed by, or sponsored by Zillow, Redfin, Realtor.com, Homes.com, Trulia, or any other third-party listing platform, and we do not control or guarantee the accuracy of information provided on external websites.

10.3 Non-Collection of MLS Data

Estara AI does not directly access, scrape, ingest, store, or distribute data from Multiple Listing Service (MLS) systems or any MLS-protected data sources. All property information presented via the Service is derived from:

  • Licensed third-party providers
  • Publicly available government records
  • User-provided data
  • Estara AI's proprietary AI-assisted analysis

Any resemblance to MLS-originated data is coincidental or provided through authorized third-party licensors who independently ensure compliance with MLS rules and regulations.

10.4 No Endorsement or Guarantee of Third-Party Data

Estara AI does not endorse, warrant, or guarantee the accuracy, legality, reliability, completeness, or availability of any third-party data, prediction, valuation, estimate, or content. You are solely responsible for performing due diligence and independently verifying property information or investment outcomes.

10.5 User Responsibility for Third-Party Interactions

Any interactions, transactions, communications, or decisions made based on third-party data or websites are solely between you and the respective third party. Estara AI assumes no liability for any losses, disputes, or damages related to third-party content or services.

11. Data Accuracy Disclaimer

Estara AI aggregates and analyzes information from multiple sources, including third-party data providers, public records, historical datasets, and government agencies. While efforts are made to ensure accuracy and reliability, Estara AI does not guarantee the completeness, correctness, or timeliness of any data displayed or generated by the platform.

You acknowledge that:

  • Real estate data may be incomplete, delayed, inaccurate, or conflicting across providers.
  • Market metrics, investment projections, and AI-generated outputs are estimates, not guarantees of performance or future results.
  • Any analytical insights, forecasts, or scoring models are informational tools and should not be considered financial, investment, or legal advice.
  • Users should independently verify material information before making investment decisions.

By using Estara AI, you accept all risks associated with relying on third-party data and AI-generated insights.

12. Service Level Agreement (SLA)

Estara AI aims to maintain a reliable, high-uptime experience for all users. However, due to reliance on external services, no absolute guarantee of uninterrupted service can be made.

12.1 Uptime Target

Estara AI targets 99% uptime, excluding:

  • Scheduled maintenance
  • Emergency maintenance
  • Downtime caused by Third-Party Services
  • Outages caused by force majeure events
  • Network issues external to Estara AI infrastructure
  • User's own connectivity or device issues

12.2 Scheduled Maintenance

Routine updates may require limited downtime. Whenever possible, users will be notified in advance.

12.3 Unscheduled / Emergency Maintenance

Estara AI may perform immediate maintenance to address urgent issues, security vulnerabilities, or third-party failures.

12.4 SLA Exclusions

The SLA does not apply to:

  • Data inaccuracies
  • Feature unavailability due to third-party failures
  • Delays in API responses caused by upstream providers
  • Performance degradation due to external networks
  • Incidents caused by user integrations or misuse
  • Beta or experimental features

12.5 Remedies

The SLA does not provide financial compensation, service credits, or refunds for downtime. Refunds or adjustments are governed solely by the Refunds & Cancellations Policy (Section 4).

13. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time, with or without notice. We are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Service will cease immediately.

Provisions of these Terms which by their nature should survive termination will remain in effect, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Disclaimers and Limitations of Liability

15.1 Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, secure, or free of harmful components.

15.2 Limitation of Liability

To the maximum extent permitted by law, Estara AI and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

15.3 Cap on Direct Damages

To the extent any liability is not excluded, the aggregate liability of Estara AI arising out of or in connection with the Service or these Terms shall not exceed the greater of (a) the total amount paid by you to Estara AI for the Service during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

16. Indemnification

You agree to indemnify, defend, and hold harmless Estara AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) that arise from or relate to: (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any applicable law or third-party right.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles.

18. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service shall be resolved through binding arbitration, administered by the American Arbitration Association (AAA) in accordance with its rules. The place of arbitration shall be Illinois, United States, and the language of the arbitration shall be English.

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent or stop actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

20. Entire Agreement and Changes to Terms

These Terms, together with any additional terms or policies referenced herein (including our Privacy Policy), constitute the entire agreement between you and Estara AI regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, or communications.

We may update or modify these Terms from time to time. If we make material changes, we will provide notice by updating the "Last updated" date at the top of this page and, where appropriate, by additional means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
